Ms. Carol Martin Reporter SooToday.com 123 March Street Suite 300 Sault Ste. Marie, Ontario P6A 2Z5

Dear Ms. Martin

It is with deep regret that I am writing to you to inform you that I am resigning effective Wednesday, July 12, 2006 as President and CEO of Northern Breweries Ltd.

This decision, although difficult, was necessary due to the current status of the company which was reported to the Sault Ste. Marie mayor and council on June 12, 2006 and to the Sudbury mayor and council on June 28, 2006.

On those occasions I explained that, to this date, the company has been unable to obtain the financing needed to fulfill the business plan that had been undertaken and which content was outlined, in brief, to both cities in October / November of 2004.

On Friday June 30 the Sault Ste. Marie and Sudbury facilities were closed, temporarily, due to the lack of funds needed to operate the business.

Effective July 12, upon my departure, all enquiries should be directed to the major shareholder to the attention of Mr. Leo Schotte, chairman of Northern Breweries Ltd.

I would like to thank you for the exceptional co-operation and assistance that you extended while we worked in an attempt to revive Northern Breweries Ltd. and I would hope that you will extend the same co-operation to Mr. Schotte, going forward.

Yours very truly,

William R. Sharpe
